Welcome to the website of Fitzpatrick Design Construction Services (“FDCS,” “we,” “our,” or “us”). These Terms & Conditions of Use (“Terms”) govern your access to and use of www.fdcstx.com (the “Site”), including all text, imagery, portfolio exhibits, leadership biographies, and related digital materials made available on the Site.

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Site.

1. Informational Purposes Only; No Binding Contract

  • Informational Website Only: The Site is operated strictly as an informational and portfolio showcase presenting FDCS’s background, executive leadership, service capabilities, and completed or featured construction and design projects.

  • No Bids or Procurement Online: The Site does not host bidding portals, subcontractor prequalification intake, procurement solicitations, or online cost-estimating tools. No bids, tenders, proposals, or formal submittals are accepted or transacted through the Site.

  • No Contract Formation: Viewing materials on the Site does not create a contractor-client, design-builder, joint venture, agency, partnership, or fiduciary relationship between you and FDCS. All professional construction management, design-build, consulting, and general contracting services require an independently negotiated, written, and fully executed commercial contract signed by an authorized corporate officer of FDCS.

2. Intellectual Property Rights

  • Ownership of Site Content: The Site and all of its contents, features, and functionality—including, without limitation, corporate logos, trademarks, text, layout, graphic designs, architectural renderings, site photographs, aerial imagery, project descriptions, and executive biographies—are owned by FDCS, its licensors, or project partners and are protected by United States and international copyright, trademark, and intellectual property laws.

  • Limited License: You are granted a limited, non-exclusive, non-transferable, revocable license to access, view, and read content on the Site solely for your personal or internal business informational review.

  • Restrictions: You may not copy, modify, reproduce, distribute, display, republish, download, license, or create derivative works from any Site materials, photographs, or graphics without the prior express written consent of FDCS.

3. Accuracy of Portfolio and Informational Content

While FDCS strives to ensure that project highlights, leadership profiles, and service summaries are current and accurate:

  • Project descriptions, square footage, timelines, and imagery represent past performance or design concepts and are provided for illustrative purposes only.

  • FDCS makes no representations or warranties regarding the completeness, timeliness, or absolute accuracy of any informational material on the Site.

  • Content may be modified, updated, or retired at any time without prior notice.

4. Prohibited Uses

You agree to use the Site solely for lawful informational browsing. You agree not to:

  • Violate any applicable federal, state, local, or international law or regulation.

  • Introduce viruses, worms, Trojan horses, keystroke loggers, or other malicious code designed to disrupt or harm the Site or its underlying infrastructure.

  • Attempt to gain unauthorized access to, compromise, or disrupt the Site, server, network, or connected host services.

FDCS does not endorse, control, or assume liability for the content, privacy policies, or practices of third-party platforms.

6. Disclaimer of Warranties

THE SITE AND ALL INFORMATIONAL MATERIALS, IMAGES, AND CONTENT THEREIN ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

FDCS DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMISSIBLE BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FDCS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ACCURATE, FREE OF TYPOGRAPHICAL ERRORS, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FITZPATRICK DESIGN CONSTRUCTION SERVICES (“FDCS”), ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR ACCESS TO, BROWSING OF, OR INABILITY TO ACCESS OR USE THE SITE;

  • ANY RELIANCE PLACED ON PROJECT DESCRIPTIONS, PROFILES, OR INFORMATION DISPLAYED ON THE SITE; OR

  • ANY TECHNICAL MALFUNCTION, INTERRUPTIONS, OR DEFECTS ON THE SITE.

  • OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless FDCS, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable legal fees) arising out of your misuse of the Site or violation of these Terms.

9. Governing Law and Jurisdiction

These Terms and any dispute arising out of your use of the Site shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in Texas.

10. Modifications to Terms

FDCS reserves the right to revise these Terms at any time in its sole discretion. Any changes will become effective immediately upon posting to the Site, with an updated “Last Updated” date. Continued use of the Site after revisions are posted constitutes your acceptance of the amended Terms.
